TERMS OF SERVICE

These Terms of Service ("Terms") govern your use of the review automation services ("Services") provided by Bespoke AI Agency ("we," "us," or "our"). By signing up for or using our Services, you ("Client," "you," or "your") agree to be bound by these Terms.
1. Services Description
Bespoke AI Agency provides automated review management services for local businesses, including but not limited to: (a) automated review request campaigns sent via SMS and email to your customers; (b) review reactivation campaigns for past customers; (c) automated follow-up messages; (d) AI-powered review response generation (when available); (e) social media posting of reviews; and (f) CRM integration and analytics dashboard access.
2. Account Registration and Eligibility
To use our Services, you must: (a) be at least 18 years old and have the legal capacity to enter into contracts; (b) operate a legitimate business; (c) provide accurate and complete information during registration; and (d) maintain the security of your account credentials.
3. Subscription Plans and Pricing
Plan Tiers: We offer multiple subscription tiers (Starter, Growth, Pro) based on the number of review requests per month. All plans include review reactivation campaigns, automated follow-ups, and access to all platform features.
Free Trial: We offer a 10-day free trial for new customers. Your credit card will be charged automatically at the end of the trial period unless you cancel before the trial ends.
Billing: Subscription fees are billed monthly or annually in advance, depending on your selected plan. Annual plans receive a discount equivalent to two months free.
Price Changes: We reserve the right to modify our pricing with 30 days' notice. Price changes will not affect your current billing cycle.
Taxes: All fees are exclusive of applicable taxes, which you are responsible for paying.
4. Payment Terms
Payment is due at the time of subscription and on each renewal date. You authorize us to charge your provided payment method for all fees.
If a payment fails, we will attempt to notify you and may suspend your account until payment is received. We reserve the right to terminate accounts with past-due balances.
All fees are non-refundable except as required by law or as expressly stated in these Terms.
5. Cancellation and Termination
Cancellation by You: You may cancel your subscription at any time through your account dashboard or by contacting support. Cancellations are effective at the end of the current billing period. No refunds will be provided for partial billing periods.
Termination by Us: We reserve the right to suspend or terminate your account immediately if you violate these Terms, engage in fraudulent activity, or if your account poses a security or legal risk.
Effect of Termination: Upon termination, your access to the Services will cease, and we may delete your data according to our data retention policies. You remain responsible for all charges incurred prior to termination.
6. Your Responsibilities and Prohibited Uses
You agree to:
• Obtain proper consent from your customers before sending them review requests via SMS or email, in compliance with the Telephone Consumer Protection Act (TCPA), CAN-SPAM Act, and other applicable laws
• Provide accurate customer information and maintain updated contact lists
• Use the Services only for legitimate business purposes
• Comply with all applicable laws and Google's review policies
• Honor opt-out requests from customers who no longer wish to receive communications
You agree NOT to:
• Solicit fake, fraudulent, or incentivized reviews
• Use the Services to spam, harass, or send unsolicited messages
• Attempt to filter out or prevent negative reviews (this violates Google's policies)
• Reverse engineer, copy, or attempt to access our source code or underlying technology
• Resell or redistribute the Services without our written permission
• Violate any third-party rights, including intellectual property and privacy rights
Violation of these terms may result in immediate account suspension or termination.
SMS Messaging Cadence: You acknowledge that mobile messaging frequency will vary based on account configuration, automated calendar reminders, and review campaign generation rules.
7. Compliance with Review Platform Policies
You acknowledge that Google and other review platforms have specific policies regarding review solicitation and management. You are solely responsible for ensuring your use of our Services complies with these platform policies. We cannot and do not filter reviews to prevent negative feedback, as this violates Google's terms of service and can result in permanent suspension of your Google Business Profile. We are not liable for any actions taken by third-party platforms against your business profile.
8. Intellectual Property Rights
Our Property: All intellectual property rights in the Services, including software, trademarks, logos, and content, are owned by Bespoke AI Agency or our licensors. You receive a limited, non-exclusive, non-transferable license to use the Services according to these Terms.
Your Data: You retain all rights to your customer data, business information, and review content. By using our Services, you grant us a limited license to use, process, and store this data solely to provide the Services to you.
9. Service Availability and Modifications
While we strive to provide reliable service, we do not guarantee uninterrupted or error-free operation. We may perform scheduled maintenance and updates that temporarily affect service availability.
We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time with reasonable notice. We are not liable for any modifications or discontinuation of features.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
(a) THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
(b) WE DO NOT GUARANTEE SPECIFIC RESULTS, INCLUDING A CERTAIN NUMBER OF REVIEWS, REVIEW RATINGS, OR BUSINESS OUTCOMES.
(c) IN NO EVENT SHALL BESPOKE AI AGENCY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, DATA LOSS, OR BUSINESS INTERRUPTION, ARISING FROM YOUR USE OF THE SERVICES.
(d) OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
11. Indemnification
You agree to indemnify, defend, and hold harmless Bespoke AI Agency, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) your violation of applicable laws, including TCPA, CAN-SPAM, or review platform policies.
12. Third-Party Integrations
Our Services integrate with third-party platforms including GoHighLevel, Twilio, Google, and social media platforms. We are not responsible for the operation, availability, or policies of these third-party services. Your use of third-party integrations is subject to their respective terms of service and privacy policies.
13. Data and Privacy
Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Services, you consent to our data practices as described in the Privacy Policy.
14. Dispute Resolution
Informal Resolution: If you have a dispute with us, you agree to contact us first to attempt to resolve the issue informally.
Governing Law: These Terms are governed by the laws of the State of California, without regard to conflict of law principles.
Jurisdiction: Any legal action arising from these Terms must be brought in the state or federal courts located in California, and you consent to the exclusive jurisdiction of these courts.
15. General Provisions
Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Bespoke AI Agency regarding the Services.
Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full effect.
No Waiver: Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.
Assignment: You may not assign or transfer these Terms without our written consent. We may assign these Terms without restriction.
Modifications: We may update these Terms from time to time. We will notify you of material changes by email or through the Services. Your continued use after changes are posted constitutes acceptance of the updated Terms.
